Separation of investment, operations and governance responsibilities.
PTD CAPITAL LLC PTD-ARC-2019-004 GOVERNANCE STRUCTURE WORKING PAPER Original record date: 16 September 2019 Recorded author: Governance Office Reconstructed edition: 16 October 2026 / Version 2.0 / Open 01 / Separation of responsibilities The 2019 history records adoption of the PTD Capital name and separation of investment, operations and governance functions. This working edition develops that recorded boundary into a responsibility schedule. It is a reconstruction from the institutional register, not an original signed resolution. An investment decision establishes the role of PTD, the permitted scope and the conditions requiring a further decision. It does not establish that an operating intervention has occurred. An operating review records delivery, unresolved dependencies and the next accepted boundary. Governance retains the decision, the responsible role and the evidence on which the decision depends. 02 / Committee records The Investment Committee reviews proposed positions and changes to the accepted investment boundary. Its record should identify the proposition, the information considered, any qualifications and the outcome. Financial schedules remain separate from the public project description. The Portfolio Review Council considers the operating plan. A workstream must have an owner, a stated objective and a date or condition for review. Delayed and paused work remains in the register. Moving a target does not erase the earlier target, and a scheduled completion is not recorded as an achieved result. The Risk and Governance Committee reviews dependency, reporting quality and responsibility. A risk remains open until the recorded evidence supports a different state. A new description or a lower score cannot substitute for that evidence. If responsibility transfers, the accepting role and effective date are retained. 03 / Publication boundary The later Public Research Desk operates within the same separation. It may discuss a method or a public operating record without receiving authority to release restricted schedules. Its establishment is recorded in 2024; it is not represented here as a committee operating in 2019. A public document keeps its original issue date, current version and correction history. The author prepares the text; the responsible project lead confirms project facts; the publication review checks dates, definitions and access. Unresolved differences remain visible to the reviewer and block an unsupported claim of completion. 04 / Retained evidence The minimal decision record contains the date, subject, responsible body, outcome, qualifications and next review. Supporting files retain stable identifiers. The record distinguishes approval, implementation and verification so that a later reader can determine what was decided and what subsequently happened.
